Togut Firm partner Frank Oswald was pleased to participate in a recent webinar panel discussion hosted by Strafford, a BARBRI Company, titled Personal Liability Risk for Chapter 11 Management: Key Considerations When Deciding Whether to Stay or Resign on January 28, 2025. Mr. Oswald was joined on the expert panel by Harvey L. Tepner, an independent corporate director, and Dana R. Quick, a partner at Bast Amron LLP. The panelists discussed, among other things: the effect of indemnification agreements from venture and private equity; whether a debtor can honor prepetition compensation agreements; KERPs & KEIPs; and the evolving fiduciary duties of directors and officers, including how they can mitigate personal liability in light of Purdue Pharma and other new jurisprudence.
